Terms of service

General terms and conditions and customer information

I. General terms and conditions

§ 1 Basic provisions

(1) The following terms and conditions apply to contracts you conclude with us as the supplier (BBT Bürotechnik Schulze & Schulze OHG) via the website www.strgp.de, unless the parties agree a variation in writing. Deviating or conflicting terms and conditions are effective only with our express consent.

(2) We offer our products for purchase only if you are a natural or legal person or a partnership with legal capacity acting, when concluding the transaction, in the exercise of your commercial or self-employed professional activities (a business customer). Contracts with consumers are excluded.

§ 2 Conclusion of the contract

(1) The subject of the contract is the sale of goods. The essential characteristics of the goods are specified in the respective offer.

(2) By placing a product on our website, we make you a binding offer to conclude a contract via the online shopping cart system on the terms specified in the respective offer.

(3) The contract is concluded via the online shopping cart system as follows:
The goods you intend to purchase are placed in the "shopping cart". You can access the shopping cart using the corresponding button in the navigation bar and make changes there at any time.
After clicking the "Checkout" or "Proceed to order" button (or similar wording) and entering your personal details and payment and shipping conditions, the order details are displayed as a final order summary.

If you use an instant payment system (e.g. PayPal (Express/Plus/Checkout), Amazon Pay, Sofort), you are either taken to the order summary page in our online shop or redirected to the website of the instant payment provider.
If redirected to the instant payment system, you make the relevant selection or enter your details there.
Finally, the order details are displayed as an order summary on the instant payment provider's website or after you have been redirected back to our online shop.

Before submitting the order, you can review and change the information in the order summary (including using your browser's "back" function), or cancel the order. By submitting the order using the corresponding button, you legally accept the offer, thereby concluding the contract.

(4) You may also submit a binding contractual offer (order) by telephone, email, fax or post.
Acceptance of the offer (and thus conclusion of the contract) occurs immediately for telephone orders or, at the latest, within 5 days through confirmation in text form (e.g. email) confirming fulfilment of the order or dispatch of the goods (order confirmation).
If you do not receive such a message within this period, you are no longer bound by your order.
Any payments or other performance already made will in this case be refunded without delay.

(5) On request, we will prepare an individual quotation, sent to you in text form, by which we remain bound for 5 days (unless a different period is specified in that quotation). You accept the quotation by confirming in text form.

(6) Order processing and transmission of all information necessary in connection with conclusion of the contract take place by email, in part automatically. You must therefore ensure that the email address provided to us is correct and that receipt of emails is technically possible.

§ 3 Prices, payment terms and shipping costs

(1) The prices and shipping costs stated in the respective offers are net prices. They do not include statutory VAT.

(2) Shipping costs are not included in the purchase price and are charged separately unless free shipping has been promised. Further details are available under the appropriately labelled button on our website or in the respective offer.

(3) The payment options are those stated under the appropriately labelled button on our website or in the respective offer. Unless another payment period is specified for the individual payment method or on the invoice, payment claims arising from the concluded contract are due immediately. Cash discounts may be deducted only if expressly stated in the respective offer or invoice.

§ 4 Delivery terms

(1) The estimated delivery period is stated in the respective offer. Delivery dates and periods are binding only if confirmed by us in writing. For payment in advance by bank transfer, goods are dispatched only after we receive the full purchase price and shipping costs.

(2) If, contrary to expectations, a product you ordered is unavailable for a reason beyond our control despite our timely conclusion of an adequate covering transaction, you will be informed of the unavailability without delay and, in the event of withdrawal from the contract, payments already made will be refunded without delay.

(3) Goods are dispatched at your risk. If you wish, shipping can be covered by appropriate transport insurance, the cost of which you must bear.

(4) Partial deliveries are permitted and may be invoiced separately by us, provided they do not result in additional shipping costs for you.

§ 5 Statutory warranty for defects

(1) The warranty period is one year from delivery of the goods. This shortened period does not apply:

  • to damage caused by culpable injury to life, body or health attributable to us, or to other damage caused intentionally or by gross negligence;
  • where we have fraudulently concealed the defect or provided a guarantee regarding the quality of the item;
  • to items used for a building in accordance with their customary use which have caused its defectiveness;
  • to statutory rights of recourse you have against us in connection with rights in respect of defects.

(2) Only our own information and the manufacturer's product description are agreed as the quality of the goods; other advertising, public statements and representations by the manufacturer are not.

(3) In the event of defects, we provide a remedy, at our choice, by repair or replacement. If remedying the defect fails, you may choose to request a reduction in price or withdraw from the contract. Remedying a defect is deemed to have failed after an unsuccessful second attempt unless the nature of the item or defect or other circumstances indicate otherwise. In the case of repair, we are not required to bear increased costs arising from moving the goods to a location other than the place of performance, unless that movement corresponds to their intended use.

§ 6 Right of retention and retention of title

(1) You may exercise a right of retention only for claims arising from the same contractual relationship.

(2) We retain ownership of the goods until all claims from the ongoing business relationship have been settled in full. Pledging or transferring the goods as security is not permitted before ownership of the goods subject to retention of title has passed.

(3) You may resell the goods in the ordinary course of business. In this event, you hereby assign to us all claims arising from resale up to the invoice amount; we accept the assignment. You remain authorised to collect the claims. However, if you fail to meet your payment obligations properly, we reserve the right to collect the claims ourselves.

(4) If goods subject to retention of title are combined or mixed, we acquire co-ownership of the new item in proportion to the invoice value of those goods relative to the other processed items at the time of processing.

(5) We undertake to release the security to which you are entitled, at your request, to the extent that the realisable value of our security exceeds the claim to be secured by more than 10%. We determine which security is released.

§ 7 Applicable law, place of performance and jurisdiction

(1) German law applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) Our registered office is the place of performance and the place of jurisdiction if you are a merchant, a legal entity under public law or a special fund under public law. The same applies if you have no general place of jurisdiction in Germany or the EU.
